1. Acceptance & Eligibility

By applying for Tanu Music CMS partnership (cms.tanumusic.com), creating a creator account, or connecting your YouTube Channel to our Content Manager, you ("Partner", "Creator", "Rights Holder") agree to be bound by these Terms and Conditions in their entirety.

To be eligible for CMS Network onboarding, you must:

  • Be at least 18 years of age or possess formal parental/guardian consent and legal business registration.
  • Possess verified ownership or exclusive administrative management rights over the channel(s) and media assets submitted.
  • Maintain good standing under YouTube Community Guidelines and Copyright policies with zero active severe strikes.

2. Channel Linking & CMS Affiliation

Upon submission of an application, our administrative team reviews channel statistics, copyright history, and category alignment.

Upon approval, your channel will be officially linked as an Affiliate Channel or Owned & Operated (O&O) Partner in the YouTube Content Manager. This allows our platform to provide:

  • Automated Content ID asset protection and audio-visual fingerprint tracking.
  • Custom Rights Match Policies (Monetize Worldwide, Block in Restricted Territories, or Track Audience Demographics).
  • Unified revenue settlement, monthly earnings analytics, and direct support clearance tickets.

3. Ownership Warranty & Rights Grant

You retain 100% full intellectual property ownership of your original video productions, musical masters, compositions, and creative works.

By submitting reference media files into our Content ID asset engine, you grant YouTube CMS a non-exclusive, worldwide digital rights management license solely to:

  • Generate reference acoustic and video digital fingerprints for match recognition.
  • Assert automated copyright claims on infringing user-generated content (UGC) across YouTube on your behalf.
  • Collect ad revenues, YouTube Premium royalties, and mechanical licensing sums generated by claimed third-party re-uploads.
Sole Ownership Representation: You explicitly warrant that you own or control all exclusive rights in the master recordings and underlying compositions. Uploading non-exclusive samples, public domain songs, or karaoke loops into Content ID is strictly prohibited.

4. Content ID Ingestion Rules & Standards

In accordance with YouTube Content ID Quality Guidelines, the following content types are strictly ineligible for fingerprint ingestion:

  • Public domain tracks, speeches, religious chants, or open-source ambient soundscapes.
  • Royalty-free loops, stock music libraries (AudioJungle, Splice non-exclusive packs), sound effects, or default DAW samples.
  • Remixes, speed-up / slowed reverb versions, covers, or unlicensed mashups.
  • Gameplay footage, video game sound effects, software tutorials, or television broadcast captures.
Penalty for Ineligible Assets: Ingestion of ineligible assets leading to erroneous claims results in immediate asset deactivation, forfeiture of disputed earnings, and possible CMS contract suspension.

5. Revenue Split & Payout Terms

Gross revenue generated by your channel's monetized views and Content ID automated UGC claims is distributed according to your contract agreement:

  • Standard Split: 80% to Creator / 20% to YouTube CMS Partner Network (or as mutually defined in your custom tier contract).
  • Payout Cycle: Monthly disbursements are processed on the 21st to 28th of each following calendar month (e.g., August earnings paid in late September) after Google AdSense reconciliation.
  • Minimum Payout Threshold: Standard threshold is $100.00 USD (or equivalent INR). Balances below threshold roll over to the subsequent monthly settlement.
  • Tax Compliance: All payouts are subject to statutory tax deduction at source (TDS under Income Tax Act / US Foreign withholding W-8BEN requirements).

6. Copyright Claims, Disputes & Fair Use

Third-party creators whose videos are claimed by your assets have the statutory right to submit a Dispute or Appeal on YouTube under Fair Use or licensing grounds.

Partners are required to review disputes within 14 calendar days through the CMS Dispute Management console. Unreviewed disputes will automatically release claim ownership or convert according to YouTube policy. Fraudulent refusal of valid license disputes will subject the partner to internal penalties.

7. Whitelisting & Soundtrack Clearances

Partners may request Content ID Whitelisting for affiliate sub-channels, brand sponsors, licensed promotional influencers, and corporate partners.

Whitelisted channels will be exempt from automated claims. Requests must be submitted via the Support & Clearance Tickets desk in the partner dashboard at least 48 hours prior to promotional campaigns.

8. Prohibited Conduct & Anti-Fraud Policy

Partners shall not engage in any of the following malicious practices:

  • Purchasing artificial views, bot traffic, automated click farms, or engagement manipulation.
  • Issuing bad-faith DMCA takedown notices against creators holding valid sync/commercial licenses.
  • Attempting to bypass Content ID conflict resolutions by repeatedly re-uploading conflicting acoustic tracks.
  • Unauthorized sharing or reselling of CMS partner dashboard credentials.

9. Contract Duration & Channel Unlinking

CMS partnerships operate on a rolling 12-month term. Either party may terminate affiliation by providing 30 days written notice via the dashboard helpdesk.

Upon contract termination:

  • Channel is safely unlinked in the YouTube Content Manager and returned to standalone creator status.
  • All automated Content ID claims initiated on behalf of the creator are either handed over to the creator's direct account or gracefully released.
  • Final accrued earnings are settled in full on the next standard payout cycle.

10. Indemnification & Limitation of Liability

Partner agrees to defend, indemnify, and hold harmless Tanu Music Private Limited, its officers, directors, employees, and technology providers against any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

  • Any breach of copyright representations, unauthorized asset uploads, or third-party infringement claims.
  • Any violation of YouTube Terms of Service or applicable local laws by the partner channel.

In no event shall YouTube CMS be liable for indirect, incidental, special, or consequential damages resulting from algorithmic platform adjustments implemented directly by YouTube/Google LLC.
